Acceptance of these terms
These Terms of Service (the "Terms") form a binding agreement between you and NULLREACH LTD, a private limited company registered in England and Wales, with a registered office at Suite 11615, 61 Bridge Street, Kington, United Kingdom, HR5 3DJ ("dist0," "we," "us"). These Terms govern your access to and use of dist0.com, the dist0 waitlist, the playbook audit tool, and any other services we make available (together, the "Service").
By clicking "Join waitlist," submitting a URL for an audit, creating an account, or otherwise using the Service, you confirm that you have read these Terms and our Privacy Policy and agree to be bound by them. If you do not agree, do not use the Service.
What dist0 does
dist0 is a marketing operating system for early-stage brands. The Service may include a waitlist, a free playbook audit that analyzes a public URL you submit, channel-ready content drafts, suggested next moves, and related tools we add over time.
The Service is provided as a working product. Features, pricing, and availability can change, and we may add, modify, or remove features at our discretion. When changes are material, we will give reasonable notice.
Eligibility and accounts
You must be at least 16 years old to use the Service. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, in which case "you" means that organization.
When the Service requires an account or waitlist signup, you agree to provide accurate information and keep it current. You are responsible for everything that happens under your account, including keeping your credentials secure and notifying us promptly at support@dist0.com of any unauthorized use.
Acceptable use
You agree not to:
- Use the Service for any illegal purpose, or to infringe anyone's rights, including intellectual property, privacy, and publicity rights.
- Submit URLs, content, or data that you do not have permission to submit, or that contain malware, phishing, or other harmful material.
- Probe, scan, or test the vulnerability of the Service, attempt to bypass rate limits, or interfere with normal operation.
- Scrape, copy, or systematically extract Output from the Service to build a competing product or training dataset for any AI model.
- Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent that applicable law forbids such restrictions.
- Resell, sublicense, or otherwise commercially exploit the Service without our written permission.
- Send spam, harass others, or use audit reports or generated drafts in ways that mislead recipients.
We may suspend or terminate access if we reasonably believe you are violating this section.
Early access and beta features
The Service is currently early-stage. Some features are labeled "beta," "preview," or similar, and others may behave that way without a label.
Beta features are provided as-is for evaluation. They may change, break, or be discontinued at any time, and they are not covered by any uptime or service-level promise. We may collect additional usage data during beta to improve the feature; this data is handled under our Privacy Policy.
Your inputs and our outputs
Your Inputs
When you submit a URL, brand asset, copy, or other input ("Inputs"), you keep all ownership in your Inputs. You grant dist0 a worldwide, non-exclusive, royalty-free license to host, store, transmit, and process the Inputs solely as needed to operate, secure, and improve the Service for you. We do not use your Inputs to train general-purpose AI models, and we do not authorize our AI providers to do so under their standard enterprise / API terms.
You are responsible for your Inputs, including making sure you have all necessary rights to submit them and that they comply with these Terms. We may remove Inputs that violate these Terms or that we are legally required to remove.
Output
The Service produces output such as audit findings, suggested moves, and content drafts ("Output"). Subject to your compliance with these Terms, you may use Output for your own purposes, including commercial use. As between you and dist0, we do not claim ownership of the specific Output generated for you; however, AI-generated material may not be eligible for copyright protection in some jurisdictions, and identical or similar Output may be generated for other users from similar Inputs.
Output is generated automatically and can be wrong, biased, or out of date. Always review before publishing or acting on it. dist0 provides marketing tooling, not legal, financial, medical, or other professional advice.
Intellectual property and feedback
The Service, including the dist0 brand, the playbook methodology, software, designs, and documentation, is owned by dist0 and is protected by intellectual property laws. We grant you a limited, non-transferable, non-sublicensable, revocable right to use the Service in accordance with these Terms.
We welcome feedback. If you send us suggestions, ideas, or feature requests, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction. We will not publicly associate feedback with your name without your permission.
Copyright complaints (DMCA)
dist0 respects intellectual property rights and responds to clear notices of alleged copyright infringement. If you believe content accessible on or through the Service infringes your copyright, please send a notice to support@dist0.com with the subject line "DMCA Notice" and include:
- Identification of the copyrighted work claimed to have been infringed.
- Identification of the material that is claimed to be infringing and where it is located.
- Your contact information (name, address, phone, email).
- A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law.
- A statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner.
- Your physical or electronic signature.
We may forward complete notices to the user who submitted the material. Misrepresentations may subject you to liability under 17 U.S.C. § 512(f).
Free access and future paid plans
Today, the waitlist and the playbook audit are free to use. We may introduce paid plans, usage limits, or both. When we do, existing users will receive notice and a clear description of the plan terms before being charged.
For any paid plans we introduce, fees, taxes, refunds, billing cycles, and renewal terms will be presented at sign-up and form part of these Terms once you accept them.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, dist0 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
dist0 is a marketing tool, not legal, financial, medical, or other professional advice. Output is generated by automated systems and large language models and can be wrong, biased, or out of date. You are responsible for what you publish, send, or act on.
Some jurisdictions do not allow the exclusion of certain warranties, in which case the exclusions above apply only to the extent permitted by law and do not affect any non-waivable rights you have as a consumer.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, dist0 AND ITS FOUNDERS, OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR LOST GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF dist0 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID dist0 IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
Some jurisdictions do not allow these limits, in which case they apply only to the extent permitted, and nothing in this section limits liability for fraud, gross negligence, or other liability that cannot be limited under applicable law.
Indemnification
You agree to defend, indemnify, and hold harmless dist0 and its founders, officers, employees, and contractors from and against any third-party claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Inputs; (b) your use of the Service in violation of these Terms or applicable law; or (c) your publication or use of Output. We will tell you promptly about any claim covered by this section, let you control the defense (with counsel reasonably acceptable to us), and reasonably cooperate. You may not settle a claim that requires us to admit liability or take any action without our prior written consent.
If you are a U.S. federal, state, or local government entity, this section applies only to the extent permitted by applicable law.
Termination
You may stop using the Service at any time and ask us to remove your waitlist entry or account by emailing support@dist0.com.
We may suspend or end your access if you violate these Terms, if your use creates risk or legal exposure for dist0 or others, or if we discontinue the Service. Sections that by their nature should survive termination — including ownership, feedback license, disclaimers, limitation of liability, indemnification, governing law, and the general provisions — will survive.
Governing law and disputes
These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter are governed by, and construed in accordance with, the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim, and you consent to personal jurisdiction there.
Nothing in this section affects mandatory consumer protections in your country of residence, including any non-waivable right to bring a claim in your local courts.
Changes to these terms
We may update these Terms as the Service evolves. When we do, we will update the "Last updated" date at the top of this page and, for material changes, give reasonable notice through the Service or by email if we have one for you.
Your continued use of the Service after the updated Terms take effect means you accept them. If you don't, please stop using the Service.
General provisions
- Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and dist0 about the Service and supersede any prior agreements on the subject.
- Severability. If any provision is held unenforceable, the rest of these Terms remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
- No waiver. Our failure to enforce any provision is not a waiver of that provision.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets, or by operation of law.
- Notices. We may give notices through the Service, by email to the address associated with your account, or by posting on dist0.com. You may give notices to us at support@dist0.com.
- Force majeure. Neither party is liable for any failure or delay caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, internet outages, or government action.
- Relationship. These Terms do not create any agency, partnership, joint venture, or employment relationship between you and dist0. There are no third-party beneficiaries.
- Export and sanctions. You may not use the Service if you are subject to U.S. sanctions or located in a jurisdiction subject to a comprehensive U.S. embargo. You agree to comply with all applicable export control and sanctions laws.
